Terms of Service
Cabio — a product of Launchflow
These are the subscription terms for taxi and private-hire operators who license the Cabio dispatch platform. If you are a passenger looking for the terms of a journey you booked, those are published by the operator you booked with — see your operator's booking terms.
1. About these terms
These Terms of Service govern your use of Cabio, a taxi and private-hire dispatch software platform provided by Launchflow ("we", "us", "our"). They form a binding agreement between Launchflow and the business or individual that subscribes to the platform ("you", "the Operator"). By creating an account, starting a free trial, or using any part of the platform, you confirm that you have authority to bind your business and that you accept these terms. If you do not accept them, do not use the platform.
2. Definitions
"Platform" means the Cabio dispatch software, admin portal, driver application, passenger application, booking pages, APIs, and any related services. "Authorised User" means a person you permit to access the Platform on your behalf, including your operators, controllers, dispatchers, administrators, and drivers. "Passenger Data" means personal data relating to your customers that is entered into or generated by the Platform. "Subscription" means the plan you have selected and the fees payable for it. "Order" means the plan, seat count, and pricing agreed at sign-up or subsequently varied in writing.
3. What Cabio is — and what it is not
Cabio is software. We provide the technology that allows you to receive, price, dispatch, track, and invoice journeys. We are not a taxi operator, private hire operator, transport provider, or booking agent. We do not carry passengers, employ or engage drivers, own or insure vehicles, set your fares, or accept bookings on your own account. Every journey booked through the Platform is a contract between you and your passenger. You are solely responsible for the transport service you provide and for your relationship with your passengers and drivers.
4. Your licensing and regulatory obligations
You must hold, and maintain for the whole of your subscription, every licence, permission, and insurance required to operate a taxi or private hire business in each area in which you operate — including any operator's licence issued by your local licensing authority, and appropriate hire and reward insurance. You are responsible for ensuring your drivers and vehicles are correctly licensed, that DBS and safeguarding checks are carried out where required, and that you meet your obligations to your licensing authority, HMRC, and any other regulator. We may suspend your account immediately if we reasonably believe you are operating without the required licences.
5. Your account and Authorised Users
You are responsible for all activity carried out under your account, including everything done by your Authorised Users. You must keep account credentials, admin PINs, and API keys confidential, use a unique password, and notify us without delay at hello@launchflow.co.uk if you suspect unauthorised access. You must ensure your Authorised Users comply with these terms. You are responsible for adding and removing users promptly — in particular, for revoking access when a member of staff or a driver leaves.
6. Subscription, fees and billing
Access to the Platform is provided on a subscription basis. Fees, billing frequency, and any seat, vehicle, or usage limits are set out in your Order and on our pricing page. Unless stated otherwise, fees are exclusive of VAT, which is charged at the prevailing rate. Subscriptions renew automatically at the end of each billing period at the then-current rate for your plan, and you authorise us to charge the payment method on file. We may change our prices, but we will give you at least 30 days' notice before a change takes effect on your renewal. Usage-based charges (for example SMS, voice minutes, or mapping and geocoding calls made on your behalf) are billed in arrears where they apply.
7. Free trial
Where a free trial is offered, you may use the Platform during the trial period at no charge. If you do not cancel before the trial ends, your subscription converts automatically to a paid plan at the applicable rate. Trials are provided on an "as is" basis with no warranty and may be withdrawn or shortened at our discretion.
8. Cancellation and refunds
You may cancel your subscription at any time and retain access until the end of the period you have paid for. Refund eligibility is set out in full in our Refund & Cancellation Policy, which forms part of these terms.
9. Acceptable use
You must not: use the Platform for any unlawful purpose, or to arrange journeys you are not licensed to provide; attempt to access another operator's tenant, data, or account; copy, decompile, reverse engineer, or attempt to derive the source code of the Platform; resell, sublicense, or white-label the Platform to third parties without our written agreement; use automated means to extract data at a scale that degrades the service for others; upload malware or attempt to interfere with the integrity or security of the Platform; send unlawful marketing through the Platform's messaging tools; or use the Platform to build a competing product. Automated telephone, SMS, and email features must be used in compliance with PECR, the UK GDPR, and Ofcom rules — including honouring opt-outs.
10. Data protection — our respective roles
For Passenger Data and driver data processed through the Platform, you are the data controller and we act as your data processor, processing that data only on your documented instructions. For your own business account data — the details of your operator account, your billing information, and our correspondence with you — Launchflow is the controller. Full detail of both roles, our sub-processors, our security measures, and our breach-notification and deletion commitments is set out in our Privacy Policy, which includes our data processing terms and forms part of this agreement. You warrant that you have a lawful basis for the personal data you enter into or generate on the Platform, and that you provide your passengers and drivers with the privacy information the UK GDPR requires. You must publish your own passenger-facing terms and privacy notice; the Platform provides a page for these in your admin settings.
11. Third-party services
The Platform integrates with third-party services — including mapping and geocoding providers, telephony and SMS gateways, payment processors, email delivery services, and the Apple App Store and Google Play. Your use of those services may be subject to their own terms, and we are not responsible for their availability, accuracy, or acts and omissions. Where you supply your own third-party API keys, you are responsible for the cost, configuration, and terms attached to them.
12. Payments taken from your passengers
Where the Platform is used to take card payments from your passengers, those payments are processed by a PCI-DSS compliant payment provider and are settled to you, not to us. We do not store full card numbers. You are the merchant of record for those transactions and are responsible for refunds, chargebacks, and your own obligations under the payment provider's terms.
13. Availability, maintenance and support
We aim to keep the Platform available at all times and will make reasonable efforts to schedule planned maintenance outside peak hours and to give notice of it. We do not guarantee uninterrupted or error-free operation unless a specific service level has been agreed in writing in your Order. Support is provided by email at hello@launchflow.co.uk during business hours, and to the level included in your plan.
14. Intellectual property
The Platform, its source code, design, documentation, and the Cabio and Launchflow names and logos remain our property or that of our licensors. We grant you a non-exclusive, non-transferable, revocable licence to use the Platform for your own taxi or private hire business for the duration of your subscription. Nothing in these terms transfers ownership of the Platform to you. Your own data, your brand, and your logo remain yours; you grant us only the licence needed to host and display them in order to provide the service. If you send us feedback or suggestions, we may use them to improve the Platform without obligation to you.
15. Your data — export and deletion
Your booking, customer, and driver records belong to you. You may export them from the admin portal at any time while your subscription is active. On termination we will, on request made within 30 days, provide a final export in a machine-readable format. After that period we will delete or irreversibly anonymise your tenant data within 90 days, except where we are required by law to retain records, or where data has been aggregated and anonymised so that it no longer identifies you or any individual.
16. Confidentiality
Each party may receive confidential information belonging to the other — including, in our case, non-public details of the Platform, and in yours, your commercial and operational data. Each party agrees to keep the other's confidential information secure, to use it only for the purposes of this agreement, and not to disclose it except to staff and advisers who need it and are under equivalent obligations, or where disclosure is required by law.
17. Warranties and disclaimers
We warrant that we will provide the Platform with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the Platform is provided "as is". We do not warrant that estimated fares, distances, journey times, driver ETAs, flight information, or map data are accurate — these are estimates generated from third-party data and are provided for guidance. You remain responsible for the fares you charge and the commitments you make to your passengers. Nothing in these terms excludes any warranty or right that cannot lawfully be excluded.
18. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited. Subject to that, neither party is liable to the other for loss of profit, loss of business, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss. Subject to the above, our total aggregate liability arising out of or in connection with this agreement in any 12-month period is limited to the total subscription fees you paid to us in the 12 months immediately before the event giving rise to the claim. We are not liable for any loss arising from your failure to hold the licences and insurance required by clause 4, from the conduct of your drivers or passengers, or from a journey undertaken by you.
19. Indemnity
You will indemnify us against claims, losses, and reasonable costs arising from your provision of transport services, from the conduct of your Authorised Users or drivers, from your breach of clause 4 or clause 9, or from a claim by a passenger, driver, or regulator relating to your use of the Platform — except to the extent the claim arises from our own breach of this agreement.
20. Suspension and termination
You may terminate your subscription at any time from your account settings or by contacting us. We may suspend or terminate your account immediately where fees remain unpaid after written reminder, where you breach clause 4 or clause 9, where we are required to do so by law, or where your use poses a security risk to the Platform or to other operators. Where the breach is capable of remedy we will normally give you notice and a reasonable opportunity to fix it first. We may also terminate for convenience on 60 days' written notice, in which case we will refund any subscription fees you have paid for the period after termination. On termination your Authorised Users' access ends and clause 15 applies to your data.
21. Changes to the Platform and to these terms
We develop the Platform continuously and may add, change, or remove features. We will not make a change that materially reduces the core functionality of your plan without giving you at least 30 days' notice. We may update these terms; the current version is always published at cabio.cab/terms-of-service/. Material changes will be notified to account holders by email at least 30 days before they take effect, and if you do not accept them you may terminate before they apply.
22. Mobile applications
The Cabio driver and passenger applications are distributed through the Apple App Store and Google Play, and your use of them is also subject to those stores' terms. Where you distribute a branded application to your own drivers or passengers under our arrangement, you remain responsible for the content you supply for it and for meeting the stores' policies in relation to your brand.
23. General
You may not assign this agreement without our written consent; we may assign it to a group company or in connection with a sale of the business. If any provision is found unenforceable, the rest continues in force. A failure to enforce a right is not a waiver of it. This agreement, together with your Order, our Refund & Cancellation Policy, and our Privacy Policy, is the entire agreement between us regarding the Platform. No third party may enforce any part of it under the Contracts (Rights of Third Parties) Act 1999.
24. Governing law
These terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales. Before commencing proceedings, both parties agree to attempt to resolve the dispute in good faith by writing to the other.
